1. Receipt of Goods
The Buyer shall ensure that they, or an authorised person acting on their behalf, are available to accept delivery of the goods at the delivery address and within the delivery timeframe selected or specified at the point of sale.
The Buyer is responsible for ensuring that the delivery address, contact details and delivery option selected at the time of ordering are accurate and suitable for the receipt of the goods.
If the Buyer is unavailable to receive the goods on the first delivery attempt, the Buyer accepts responsibility for any resulting delay, additional delivery charges, storage requirements, deterioration, loss or damage, to the extent permitted by law.
The Seller shall not be responsible for losses, costs or expenses incurred by the Buyer as a result of the Buyer failing to accept delivery on the first or any subsequent delivery attempt.
For the purposes of these terms, the "Buyer" means the individual or organisation placing, paying for, receiving or signing for the consignment, including the account holder or registered prescriber where applicable.
2. Delivery
Unless otherwise expressly agreed in writing, the Seller may fulfil an order in one or more deliveries or instalments.
Where goods are delivered in instalments, each instalment shall be treated as a separate delivery. Any delay, failure or issue relating to one instalment shall not, unless required by law, entitle the Buyer to cancel or treat the entire contract as repudiated.
Delivery dates and times provided by the Seller or its courier are estimates unless expressly confirmed as guaranteed in writing.
The Seller shall not be liable for delays caused by circumstances outside its reasonable control, including courier delays, adverse weather, traffic disruption, industrial action, operational disruption, or other events beyond the Seller's reasonable control.
3. Failure to Accept Delivery
If the Buyer refuses or fails to accept delivery of goods that have been correctly supplied and delivered in accordance with these terms, or fails to take any action reasonably required to enable delivery, the Seller may:
arrange a further delivery, subject to any applicable additional charges;
recover reasonable costs incurred as a result of the failed delivery;
arrange for the goods to be returned to the Seller;
where appropriate, terminate the relevant order or contract; and/or
dispose of the goods where they cannot reasonably be returned to stock, particularly where their nature, storage requirements, shelf life or regulatory status prevents resale.
Any rights exercised by the Seller shall be subject to applicable law.
4. Delivery to Third Parties and Safe Places
The Seller shall not be responsible for goods, whether ambient or requiring controlled temperature storage, after delivery has been accepted by a third party on behalf of the Buyer or where the Buyer has expressly authorised the courier to leave the goods at a specified location.
This includes, but is not limited to:
employees or colleagues of the Buyer
hotel, hospital or apartment building staff
reception or concierge staff
neighbours
nominated third parties
safe places or other locations specifically authorised by the Buyer.
The Buyer is responsible for ensuring that any person authorised to receive goods on their behalf is aware of the delivery and is able to store the goods in accordance with the manufacturer's requirements and any applicable storage instructions.
Where the Buyer requests or authorises a safe-place delivery, the Buyer accepts responsibility for the goods once the courier records the delivery as completed, subject to any rights the Buyer may have under applicable law.
This provision is particularly important for products requiring specific temperature or storage conditions. The Buyer is responsible for ensuring that such goods are transferred promptly to appropriate storage following delivery.
5. Courier Deliveries
The Seller currently uses third-party courier services, including DPD, for deliveries.
The Buyer acknowledges that courier services may, subject to the courier's own terms and procedures, leave parcels at a safe place or other location where the recipient is unavailable.
The Buyer is responsible for ensuring that someone is available to accept the delivery or that an appropriate delivery instruction has been provided.
The Seller shall not accept responsibility for loss, theft, damage or deterioration occurring after the courier has completed delivery in accordance with the delivery instructions provided by the Buyer, except where such exclusion is prohibited by law.
6. Risk and Title
Risk of loss of or damage to the goods shall pass to the Buyer:
a) in the case of goods collected from the Seller's premises, when the Seller notifies the Buyer that the goods are available for collection and/or when the goods are collected by or on behalf of the Buyer; or
b) in the case of goods delivered to the Buyer, upon delivery to the Buyer or to a person or location authorised by the Buyer.
If the Buyer wrongfully fails or refuses to accept delivery, risk shall pass to the Buyer at the time when the Seller or its courier first tenders delivery.
Notwithstanding the passing of risk, legal title to the goods shall not pass to the Buyer until the Seller has received payment in full in cleared funds for:
the goods
delivery charges and any other amounts owed by the Buyer to the Seller.
7. Retention of Title
Until title to the goods has passed to the Buyer, the Buyer shall:
hold the goods as the Seller's fiduciary agent and bailee;
keep the goods separate from the Buyer's own goods and those of third parties;
properly store, protect and insure the goods;
take all reasonable steps to prevent damage, deterioration or loss;
keep the goods free from any charge, lien or other encumbrance; and
not dispose of, pledge, charge or otherwise deal with the goods except as expressly permitted by these terms.
If the Buyer fails to comply with these obligations, all sums owed by the Buyer to the Seller may, subject to applicable law, become immediately due and payable.
Until title has passed, and provided the goods remain identifiable and have not been lawfully resold, the Seller may require the Buyer to return the goods.
If the Buyer fails to return the goods promptly following such a request, the Seller may, subject to applicable law, take reasonable steps to recover possession of the goods.
8. Termination of Buyer's Right to Possession
The Buyer's right to possess the goods shall cease where:
any amount owed to the Seller remains unpaid after its due date
the Buyer materially breaches these terms or any other contract with the Seller
the Buyer becomes insolvent or enters an insolvency process
the Buyer otherwise ceases to conduct business in the ordinary course.
Any rights of the Seller under this section are in addition to any other rights or remedies available under applicable law.
9. Resale of Goods
Where the Seller has consented to the Buyer possessing the goods before title has passed, the Buyer may resell the goods in the ordinary course of its business, provided that:
the Buyer sells the goods as principal and does not represent that it has authority to bind the Seller;
the Buyer does not create any contractual relationship or liability between the Seller and the Buyer's customer;
the Buyer holds any proceeds of sale attributable to the Seller's goods for the Seller to the extent required by law; and
the Buyer remains responsible for all amounts owed to the Seller.
10. Liability and Defective Goods
The Seller warrants that, at the time of delivery, the goods shall be of satisfactory quality and shall correspond with any applicable specification supplied by the Seller.
To the fullest extent permitted by law, all other conditions, warranties and representations, whether express or implied, are excluded.
Where goods are proven to be defective or where there has been a confirmed shortage or non-delivery, the Seller's obligation shall, at its discretion and subject to applicable law, be limited to one or more of the following:
making good the shortage or non-delivery;
replacing the affected goods; or
refunding the price paid for the affected goods.
11. Inspection and Notification of Defects
The Buyer must inspect the goods as soon as reasonably practicable following delivery.
Any visible damage, shortage, incorrect goods or delivery discrepancy should be reported to the Seller within 24 hours of delivery, together with appropriate photographic evidence where applicable.
Where a defect could not reasonably have been identified upon delivery, the Buyer must notify the Seller within a reasonable period after discovering the defect and, where applicable, within any manufacturer's or statutory warranty period.
Failure to notify the Seller within the applicable period may affect the Seller's ability to investigate or resolve the claim, subject always to the Buyer's statutory rights.
12. Exclusions of Liability
To the fullest extent permitted by law, the Seller shall not be responsible for defects, damage or deterioration resulting from:
improper or unsuitable storage
failure to comply with manufacturer's storage requirements
misuse or inappropriate use of the goods
acts or omissions of the Buyer or a third party
damage occurring after risk has passed to the Buyer
goods being altered, modified or disposed of by the Buyer without the Seller's prior written consent
specifications, designs or instructions supplied by the Buyer
failure to pay the full purchase price where payment remains outstanding.
The Seller shall not be liable for indirect or consequential loss, including loss of profit, revenue, business, goodwill or anticipated savings, to the fullest extent permitted by law.
13. Limitation of Liability
Subject to any liability that cannot lawfully be excluded or limited, the Seller's total aggregate liability arising from any order, whether arising from negligence, breach of contract, misrepresentation or otherwise, shall not exceed the price paid by the Buyer for the goods giving rise to the relevant claim.
Nothing in these terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited.
14. Buyer's Responsibility
It is the Buyer's responsibility to ensure that:
the delivery address is correct before completing an order
the selected delivery service is suitable for the order
someone is available to receive the goods where required
any authorised third party is prepared to receive the goods
appropriate storage arrangements are available immediately following delivery
any delivery instructions provided to the courier are accurate
any products requiring specific storage conditions are stored correctly immediately following receipt.
The Seller cannot accept responsibility for consequences arising from incorrect delivery information, failure to accept delivery, unauthorised changes to delivery instructions or inappropriate storage following delivery.
15. Statutory Rights
Nothing in these terms is intended to exclude, restrict or limit any statutory rights or protections that cannot lawfully be excluded or limited.
Where any provision of these terms is found to be unlawful, invalid or unenforceable, that provision shall be interpreted or amended to the minimum extent necessary to make it lawful and enforceable, and the remaining provisions shall continue in full force and effect
If the Buyer refuses or fails to accept delivery of goods that have been correctly supplied and delivered in accordance with these terms, or fails to take any action reasonably required to enable delivery, the Seller may:
arrange a further delivery, subject to any applicable additional charges;
recover reasonable costs incurred as a result of the failed delivery;
arrange for the goods to be returned to the Seller;
where appropriate, terminate the relevant order or contract; and/or
dispose of the goods where they cannot reasonably be returned to stock, particularly where their nature, storage requirements, shelf life or regulatory status prevents resale.
Until title to the goods has passed to the Buyer, the Buyer shall:
hold the goods as the Seller's fiduciary agent and bailee;
keep the goods separate from the Buyer's own goods and those of third parties;
properly store, protect and insure the goods;
take all reasonable steps to prevent damage, deterioration or loss;
keep the goods free from any charge, lien or other encumbrance; and
not dispose of, pledge, charge or otherwise deal with the goods except as expressly permitted by these terms.
Where the Seller has consented to the Buyer possessing the goods before title has passed, the Buyer may resell the goods in the ordinary course of its business, provided that:
the Buyer sells the goods as principal and does not represent that it has authority to bind the Seller;
the Buyer does not create any contractual relationship or liability between the Seller and the Buyer's customer;
the Buyer holds any proceeds of sale attributable to the Seller's goods for the Seller to the extent required by law; and
the Buyer remains responsible for all amounts owed to the Seller.
Where goods are proven to be defective or where there has been a confirmed shortage or non-delivery, the Seller's obligation shall, at its discretion and subject to applicable law, be limited to one or more of the following:
making good the shortage or non-delivery;
replacing the affected goods; or
refunding the price paid for the affected goods.
